2. Services We provide business automation services including workflow automation, system integrations, and process optimisation. Specific deliverables, timelines, and fees are agreed in separate statements of work.
3. Data Security
3.1. All client data remains encrypted and within your own systems and accounts.
3.2. We do not store your business data on our servers.
3.3. You maintain full administrative control and may revoke our access at any time.
4. Payment Terms
4.1. Payment terms are specified in your statement of work.
4.2. Late payments incur interest at 4% above Bank of England base rate per annum.
4.3. We may suspend services for accounts overdue by more than 7 days.
5. Client Obligations You shall provide accurate information, maintain account security, ensure regular data backups, and make payments when due.
6. Intellectual Property
6.1. We retain ownership of all proprietary methods, processes, frameworks, code, templates, and know-how used in delivering services.
6.2. You receive a non-exclusive licence to use the specific automation configurations we create for your business.
6.3. All improvements and derivatives of our intellectual property remain our property.
6.4. You may not reverse engineer, copy, or reproduce our methods for use elsewhere.
7. Liability Exclusions
7.1. We exclude all liability except for death or personal injury caused by negligence and fraudulent misrepresentation.
7.2. We are not liable for any business losses, lost profits, data loss, system downtime, or consequential damages.
7.3. We accept no responsibility for third-party platform performance or availability.
7.4. Any liability that cannot be excluded is limited to £100 in total.
8. Confidentiality We shall maintain confidentiality of your proprietary business information and shall not disclose such information to third parties.
9. Termination Either party may terminate with 30 days written notice. Upon termination, you retain access to your configurations and we cease system access.
10. Data Protection We process personal data in accordance with UK GDPR and our Privacy Policy.
11. General Terms
11.1. These terms are governed by English law and subject to English court jurisdiction. 11.2. We may modify these terms with 30 days notice.
11.3. You may not assign your rights without our written consent.
11.4. If any provision is unenforceable, the remainder remains in effect.
